Gloseg B2B Limited Effective Date: August 16, 2026 Version: 2.0
Definitions
- "Gloseg" means Gloseg B2B Limited, the operator of the Gloseg platform, and its affiliates involved in providing the platform.
- "Platform" means the Gloseg website, applications, application programming interfaces and related services through which organizations discover, negotiate, transact and manage cross-border trade.
- "Organization" means the legal entity, sole proprietorship or registered business that creates a Gloseg account and is the contracting party under these Terms, acting through its authorised members.
- "Member" means an individual authorised by an Organization to act on the Platform under a defined role, including owner, admin, manager or member.
- "Buyer" means an Organization using the Platform to source goods or services.
- "Seller" means an Organization using the Platform to list, quote and supply goods or services.
- "Listing" means a description of goods or services published by a Seller on the Platform.
- "RFQ" means a request for quotation submitted by a Buyer describing sourcing requirements.
- "Quote" means a Seller's priced response to a Listing enquiry or an RFQ.
- "Order" means a binding commercial transaction formed when a Buyer accepts a Quote, or a Seller accepts a Buyer's purchase instruction, in each case in accordance with these Terms.
- "Escrow" means the payment holding mechanism through which Buyer funds for an Order are held pending release conditions.
- "Trade Assurance" means the contractual remedy programme described in the Trade Assurance Terms, which is not a form of insurance.
- "Verification Tier" means the Gold, Platinum or Diamond status assigned to a Seller Organization following document-based verification.
- "User Content" means any content, data, communication or material that an Organization or Member submits, uploads or transmits through the Platform.
- "Affiliated Terms" means the Buyer Terms, Seller Terms, Trade Assurance Terms, Acceptable Use Policy, Cookie Policy and Privacy Policy, each incorporated by reference into these Terms.
1. Acceptance and Organization Binding Authority
1.1 Formation of agreement
These Terms of Service form a binding agreement between Gloseg and the Organization on whose behalf the Platform is accessed. An individual who creates, accesses or uses an account represents that they are authorised to bind that Organization to these Terms and to all Affiliated Terms applicable to the Organization's use of the Platform.
1.2 Authority of members
1.2.1 Delegated acts
Gloseg treats acts performed by a logged-in Member as acts of the Organization, including:
- accepting or submitting Quotes and forming Orders;
- authorising escrow release requests and payout instructions;
- editing Listings, RFQ responses and organizational profile data;
- inviting, removing or reassigning the roles of other Members.
1.2.2 Internal governance
Gloseg does not verify or arbitrate an Organization's internal governance, board resolutions or signatory limits. Organizations are responsible for configuring roles conservatively and for promptly removing Members who leave or change function.
1.3 Layered agreements
These Terms sit above and are supplemented by the Buyer Terms, Seller Terms, Trade Assurance Terms, Acceptable Use Policy, Cookie Policy and Privacy Policy. Where a Buyer or Seller specific document imposes additional obligations relevant to that role, those obligations apply in addition to, and do not replace, these Terms.
2. Eligibility and Geographic Scope
2.1 Who may register
2.1.1 Seller eligibility
Sellers must be Organizations lawfully established, registered or operating in a member state of the African Union. Gloseg may request business registration evidence, tax identifiers and beneficial ownership information as a condition of onboarding.
2.1.2 Buyer eligibility
Buyer Organizations may be established anywhere in the world, subject to Gloseg's sanctions and export control screening described in Clause 9 and in the Privacy Policy.
2.2 Age and capacity
The Platform is a business-to-business marketplace and is not directed at, or intended for use by, individuals under the age of 18. Members acting on behalf of an Organization must have the legal capacity to enter into commercial contracts in their jurisdiction.
2.3 Restricted territories and goods
Gloseg may decline to onboard an Organization, or may restrict specific transactions, where doing so is necessary to comply with applicable sanctions regimes, export controls or prohibited goods lists published from time to time within the Acceptable Use Policy.
3. Account Creation, Workspace Roles and Member Authority
3.1 Account structure
Accounts on Gloseg are organization-first. An Organization is created once and Members are subsequently invited into a shared workspace with individually assigned roles.

3.3 Accuracy and security of account information
3.3.1 Accurate records
Organizations must keep registration, contact, tax and banking details current. Gloseg is not liable for consequences arising from outdated or inaccurate Organization data.
3.3.2 Credential security
Organizations are responsible for the confidentiality of login credentials and for promptly notifying Gloseg of suspected unauthorised access through legal@gloseg.com.
4. The Marketplace Intermediary Role
4.1 What Gloseg is
Gloseg operates a marketplace that connects Buyer and Seller Organizations and facilitates negotiation, contracting and payment logistics for cross-border trade. Gloseg is not a party to the underlying supply contract formed between Buyer and Seller, and is not the seller of record for goods or services listed on the Platform.
4.2 What Gloseg does not do
4.2.1 Excluded functions
Gloseg does not act as, and nothing in these Terms should be read as making Gloseg:
- a bank, payment institution or deposit-taking body;
- an insurer or underwriter of trade risk;
- a customs broker, freight forwarder or logistics carrier;
- a guarantor of the quality, legality, safety or fitness for purpose of goods or services listed by a Seller;
- a provider of legal, tax or regulatory advice to any Organization.
4.3 Reliance and diligence
Buyers and Sellers remain responsible for conducting their own due diligence, including verifying counterparties, inspecting goods where appropriate, and complying with import, export and tax obligations in their respective jurisdictions.
5. Listings, RFQs, Quotes and Order Formation
5.1 Listings and RFQs
5.1.1 Seller listings
Sellers are solely responsible for the accuracy of Listing content, including specifications, pricing, minimum order quantities and lead times.
5.1.2 Buyer RFQs
Buyers may publish RFQs describing sourcing requirements. Sellers may respond with Quotes. Publication of an RFQ does not obligate a Buyer to accept any resulting Quote.
5.2 Quotes
A Quote is an offer capable of acceptance. Sellers should ensure Quotes reflect final, deliverable terms, since acceptance by a Buyer forms a binding Order.
5.3 Order formation
5.3.1 Moment of formation
An Order forms when:
- a Buyer accepts a Seller's Quote through the Platform; or
- a Seller confirms acceptance of a Buyer's purchase instruction through the Platform.
5.3.2 Order terms
Once formed, an Order is governed by the accepted Quote, applicable product specifications, the Buyer Terms, the Seller Terms and, where selected, the Trade Assurance Terms. Gloseg records the Order but is not a contracting party to the underlying supply obligations between Buyer and Seller.
5.4 Modifications and cancellations
Amendments to an Order after formation require the mutual agreement of both parties, recorded through the Platform where reasonably practicable. Unilateral cancellation is subject to the Buyer Terms and Seller Terms.
6. Escrow Payment and Operator-Triggered Release
6.1 Purpose of escrow
Buyer payment for an Order is generally held in escrow rather than transferred directly to the Seller on Order formation, so that funds can be released against agreed milestones or confirmed delivery.
6.2 Release process
6.2.1 Milestone and delivery confirmation
Funds held in escrow are released by Gloseg operations following milestone confirmation, delivery confirmation, or the resolution of a dispute raised under the dispute process described in the Trade Assurance Terms. Release is operator-triggered and is not automatic upon Buyer or Seller instruction alone.
6.2.2 No chargeback mechanism
Gloseg does not operate a card chargeback subsystem. Where a Buyer believes a refund is warranted, the Buyer must raise it through the dispute process, and any refund is processed through the escrow mechanism rather than through a card issuer.
6.3 Payouts
Payouts of released escrow funds to a Seller Organization's registered payout account are triggered by Gloseg operations following release and applicable fee deduction, subject to the Seller Terms.
7. Fees, Commission Tiers and Taxes
7.1 Platform fees
Gloseg charges fees for use of the Platform, which may include transaction commission, subscription fees for enhanced features, and fees for optional services such as expedited verification.
7.2 Commission structure

7.3 Changes to fees
Gloseg may adjust fees prospectively. Changes to fees applicable to an Organization's account will be communicated in advance in accordance with Clause 15 and will not apply retroactively to Orders formed before the change takes effect.
7.4 Taxes
Each Organization is responsible for determining, collecting, remitting and reporting any taxes, duties or levies applicable to its transactions, including value added tax, withholding tax, customs duty and import tax. Gloseg does not act as tax agent for any Organization.
8. Verification and Trust Signals
8.1 Verification tiers
Sellers may undergo document-based verification resulting in a Gold, Platinum or Diamond Verification Tier, reflecting the depth of documentation reviewed by Gloseg.
8.2 Nature of verification
8.2.1 Not a guarantee
Verification Tiers reflect the review of submitted documents at a point in time. They are not a guarantee of ongoing solvency, product quality or contractual performance, and Buyers should treat Verification Tiers as one input among several in assessing counterparties.
8.2.2 Revocation
Gloseg may downgrade or revoke a Verification Tier where submitted documentation is found to be inaccurate, expired or fraudulent.
9. Acceptable Use by Reference
9.1 Incorporation
The Acceptable Use Policy is incorporated by reference into these Terms and governs prohibited content, prohibited goods, sanctions compliance, fraud, circumvention of the Platform and misuse of communication tools.
9.2 Enforcement
Breach of the Acceptable Use Policy is a breach of these Terms and may result in the actions described in Clause 13.
10. Intellectual Property in Platform Content and User Content Licence
10.1 Platform intellectual property
Gloseg and its licensors own all right, title and interest in the Platform, including its software, design, trade marks and trade intelligence outputs, other than User Content. No rights are granted to an Organization except the limited right to access and use the Platform in accordance with these Terms.
10.2 Licence to User Content
10.2.1 Grant
Each Organization grants Gloseg a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, adapt for technical display purposes, and distribute its User Content solely for the purpose of operating, securing and improving the Platform.
10.2.2 Ownership retained
Organizations retain ownership of their User Content. Gloseg does not claim ownership of Listing content, RFQ content, messages or documents uploaded by Organizations.
10.3 Feedback
Suggestions or feedback provided to Gloseg about the Platform may be used by Gloseg without obligation to the providing Organization.
11. Third-Party Services and Integrations
11.1 Integrated providers
The Platform relies on third-party providers for functions including cloud hosting, payment processing, transactional email, analytics and communication tooling.
11.2 No endorsement of linked services
Where the Platform links to or integrates a third-party service not operated by Gloseg, use of that service is subject to the third party's own terms, and Gloseg is not responsible for that third party's acts or omissions.
12. AI and Trade Intelligence Outputs
12.1 Informational purpose only
12.1.1 Nature of outputs
Features that use artificial intelligence or automated analysis, including pricing suggestions, demand signals, Listing recommendations and risk indicators, are provided for informational purposes only and do not constitute professional, legal, financial or commercial advice.
12.1.2 No reliance warranty
Gloseg does not warrant the accuracy or completeness of AI-generated or trade intelligence outputs, and Organizations remain responsible for their own commercial decisions.
12.2 Human oversight
Automated outputs that materially affect an Organization's account status, such as suspension recommendations arising from fraud scoring, are reviewed by Gloseg personnel before final action is taken, as further described in the Privacy Policy.
13. Confidentiality
13.1 Confidential information
Each party may receive confidential business information from the other in the course of using the Platform, including pricing, sourcing requirements and negotiation communications. Each party agrees to use such information only for purposes connected with the relevant Order and not to disclose it to third parties except as required by law or as necessary to perform the Order.
13.2 Platform data
Gloseg treats Organization account data, verification documents and transaction records as confidential and processes them in accordance with the Privacy Policy.
14. Suspension, Restriction and Termination
14.1 Grounds
Gloseg may suspend, restrict or terminate an Organization's access to the Platform for reasons including breach of these Terms or Affiliated Terms, suspected fraud, sanctions exposure, repeated disputes, or non-payment of fees.
14.2 Effect on live orders and escrow balances
14.2.1 Live orders
Suspension or termination does not automatically cancel Orders already formed. Gloseg will use reasonable efforts to allow existing Orders to be completed or wound down in an orderly manner, unless the underlying conduct requires immediate cessation.
14.2.2 Escrow balances
Funds already held in escrow for a live Order remain subject to the release conditions applicable to that Order. Suspension of an account does not itself entitle either party to release of escrow funds outside the normal milestone, delivery confirmation or dispute resolution process.
14.3 Termination by an organization
An Organization may close its account by written request to legal@gloseg.com, subject to settlement of outstanding Orders, fees and escrow balances.
15. Changes to the Terms
15.1 Notice of changes
Gloseg may update these Terms from time to time. Material changes will be notified to Organizations through the Platform or by email in advance of the change taking effect.
15.2 Re-acceptance
Where a change is material, continued use of the Platform after the effective date of the change is conditioned on the Organization re-accepting the updated Terms through the Platform. Where re-acceptance is declined, Gloseg may restrict access pending resolution of live Orders.
16. Disclaimers, Liability Caps and Indemnities
16.1 Disclaimers
16.1.1 Platform provided as available
The Platform is provided on an "as available" basis. Gloseg does not warrant that the Platform will be uninterrupted, error-free or free of security vulnerabilities, and does not warrant the conduct, solvency or performance of any Buyer or Seller Organization.
16.2 Limitation of liability
16.2.1 Aggregate cap
To the maximum extent permitted by law, Gloseg's aggregate liability to an Organization arising out of or in connection with these Terms, whether in contract, tort or otherwise, is limited to the total fees paid by that Organization to Gloseg in the 12 months preceding the event giving rise to the claim.
16.2.2 Excluded losses
Gloseg is not liable for indirect, consequential or special losses, including loss of profit, loss of business opportunity or reputational loss, except where such exclusion is not permitted under mandatory local law, including certain consumer protections recognised in Ghana and Nigeria.
16.3 Indemnities
Each Organization agrees to indemnify Gloseg against claims, losses and reasonable costs arising from that Organization's breach of these Terms, its User Content, or its underlying supply transactions with a counterparty Organization.
17. Force Majeure
Neither party is liable for delay or failure to perform an obligation under these Terms, other than a payment obligation for funds already released from escrow, to the extent caused by events beyond its reasonable control, including natural disaster, war, civil unrest, governmental action, power or network failures, or failures of third-party payment infrastructure.
18. Assignment and Notices
18.1 Assignment
An Organization may not assign or transfer its rights or obligations under these Terms without Gloseg's prior written consent. Gloseg may assign these Terms in connection with a merger, acquisition or sale of substantially all relevant assets, subject to reasonable notice to affected Organizations.
18.2 Notices
Notices under these Terms are validly given to Gloseg at legal@gloseg.com, and to an Organization at the primary contact email or in-platform notification address registered for its account.
19. Governing Law, Arbitration and Dispute Escalation
19.1 Governing law
These Terms are governed by the laws of England and Wales, without prejudice to mandatory consumer protection or data protection law applicable to Organizations in Ghana or Nigeria that cannot be excluded by contract.
19.2 Escalation before arbitration
19.2.1 Good-faith negotiation
Parties must first attempt to resolve a dispute through good-faith negotiation between authorised representatives for a period of not less than 21 days.
19.2.2 Platform mediation
Where negotiation does not resolve the dispute, the parties will engage the Platform's mediation process, where offered, before commencing arbitration.
19.3 Arbitration
Disputes not resolved under Clause 19.2 will be finally resolved by arbitration seated in London, under the rules of the London Court of International Arbitration, conducted in English, with the number of arbitrators and other procedural matters determined in accordance with those rules.
20. Document Hierarchy and Precedence
20.1 Order of precedence
Where a conflict exists between documents governing an Organization's use of the Platform, the following order of precedence applies, from highest to lowest.

20.2 Interpretation
Where a document lower in precedence contains an obligation not addressed by a higher document, that obligation continues to apply. Precedence resolves conflicts, not omissions.
