Gloseg Commission & Fee Schedule
Gloseg B2B Ltd Effective Date: August 16, 2026 Version: 1.0
This is an Operational Rules document. It carries the operating settings that the Gloseg agreements refer to: commission rates by Tier, the qualifying thresholds for each Tier, payout timing, and the treatment of third-party costs. It is incorporated by reference into the Terms of Service, the Seller Terms, the Buyer Terms and the Payments, Escrow & Payouts Terms.
It sits in a separate lane from those agreements because rates and thresholds are commercial settings that are re-tuned as the market moves, while the agreements themselves are stable instruments that Users accept. A change to this Schedule is notified and versioned, but it is not a change to any agreement, and it cannot enlarge an obligation that an agreement does not already impose. Where this Schedule and an agreement conflict, the agreement governs.
Contracting entity
Gloseg is the trading name of a corporate group. This document is issued by, and where it creates obligations is entered into with, the Gloseg entity identified below.
| Jurisdiction | Entity | Registered office | Role |
|---|---|---|---|
| Ghana | Gloseg B2B Ltd | Accra, Ghana | Group parent, headquarters, and the contracting entity for this document |
| Liberia | Gloseg Technologies Ltd | Capital Hill, Monrovia, Liberia | Group entity providing platform and technology services |
| Nigeria | Registered presence of the group | Nigeria | Local presence; entity particulars are as stated in the applicable registration records |
| United Kingdom | Registered presence of the group | United Kingdom | Local presence; entity particulars are as stated in the applicable registration records |
"Gloseg", "we", "us" and "our" mean Gloseg B2B Ltd and, where the context requires, the Gloseg group entity providing the relevant service. Registration particulars for each entity are available on request to legal@gloseg.com.
Nothing in this clause creates a right of action against a group entity that is not a party to the arrangement in question.
Definitions
"Gloseg" means Gloseg B2B Ltd, a company registered in Ghana with its registered office and headquarters in Accra, Ghana, together with the Gloseg group entities identified in the Contracting entity clause of this document, trading as Gloseg and operating the Platform.
"Commission" means the percentage fee Gloseg charges a Seller Organization on the USD Pivot value of an Order, determined by the Seller's Tier at the time the fee is computed.
"Tier" means a Seller Organization's commission and trust classification under the Gloseg verification programme, being Gold, Platinum or Diamond. Silver was retired on May 7, 2026 and is retained only for the historical display of past records.
"USD Pivot" means the internal computation currency (United States Dollars) in which Gloseg calculates Commission, fees and cross-currency conversions, regardless of the currency displayed on screen to any party.
"Currency of Record" means the currency fixed on the Accepted Quote, which is authoritative for invoicing, settlement and accounting.
"Locked Rate" means the Commission rate written onto an Order at checkout, which continues to govern that Order for its whole life regardless of later rate changes.
"Gateway Cost" means a fee, interchange charge, transfer charge or conversion spread imposed by a licensed payment service provider or bank that Gloseg routes a transaction through. Gateway Cost is a third-party cost, not Gloseg revenue.
"GMV" means the aggregate USD Pivot value of a Seller Organization's completed Orders over the trailing twelve months.
"Rate Change Notice Period" means the 14 day interval between Gloseg recording a Commission rate change against a Seller Organization and that rate taking effect.
1. Commission rates in force
1.1 The rate table
1.1.1 Rates by Tier
| Tier | Commission on Order value | Standard payout timing | Position |
|---|---|---|---|
| Gold | 10% | 5 business days after release | Entry verified tier and the commission floor for a verified Seller |
| Platinum | 7% | 3 business days after release | High-performing verified Seller |
| Diamond | 5.5% | 24 hours after release | Elite verified Seller |
1.1.2 No unverified selling rate
- There is no Commission rate for an unverified Seller because an unverified Seller cannot transact. A Seller Organization must reach at least Gold before it can receive an Order, so Gold is the entry rate rather than a discount from some higher default.
- A Seller Organization migrated from the retired Silver tier was moved to Gold, and its Commission is the Gold rate.
1.1.3 Historical rates
- Orders accepted before the May 2026 repricing remain billed at the rates then in force: Gold 7%, Platinum 5%, Diamond 4%, and retired Silver 10%. Gloseg retains the full rate history so that any past Order can be recomputed exactly as it was charged.
- Invoices, earnings statements and payout records read the Locked Rate stored against the Order. They do not read the current table, so a rate change never restates a historical document.
1.2 What Commission is charged on
1.2.1 The commissionable base
- Commission is calculated on the USD Pivot value of the goods, and of any platform-quoted services, contained in the Accepted Quote.
- Commission is calculated before Gateway Cost, before taxes and before freight pass-throughs, unless the Accepted Quote expressly states that a particular freight or service line is commissionable.
1.2.2 Excluded from the base
- Duties, tariffs, VAT, sales tax and other government charges.
- Third-party inspection, certification and insurance premiums arranged outside the Platform.
- Refunded amounts, to the extent of the refund, once the refund is settled.
1.2.3 Currency treatment
- The Currency of Record fixed on the Accepted Quote governs invoicing and settlement. The USD Pivot governs Commission computation. A display currency shown for convenience is indicative and is never a settlement rate.
- Where the Currency of Record is not USD, the USD Pivot value is fixed at quote acceptance, so a later exchange-rate movement does not change the Commission charged on that Order.
2. Tier qualification thresholds
2.1 Performance and documentation
2.1.1 Qualifying thresholds
| Tier | Completed Orders | Buyer rating | RFQ response rate | Trailing GMV |
|---|---|---|---|---|
| Gold | 10 | 3.5 | 70% | Not assessed |
| Platinum | 50 | 4.0 | 85% | 10,000 USD |
| Diamond | 200 | 4.5 | 95% | 50,000 USD |
2.1.2 Documentary requirements
| Tier | Evidence required |
|---|---|
| Gold | Business registration certificate, bank account verification, tax identification number |
| Platinum | Gold evidence, plus export licence where applicable, quality certification, and facility photographs |
| Diamond | Platinum evidence, plus a facility inspection report, ISO or equivalent certification, and three trade references |
2.1.3 Thresholds are necessary, not sufficient
- Meeting a threshold makes a Seller Organization eligible for review. It does not award the Tier automatically. Tier awards are made by Gloseg following document verification under the Verification & Trust Policy.
- Gloseg may withhold or reverse a Tier where evidence is unverifiable, where a document is inconsistent with the registration records of the Seller's jurisdiction, or where conduct under the Seller Performance Standards makes the trust signal misleading.
2.2 Losing a Tier
2.2.1 Downgrade grounds
- Sustained performance below the threshold for the Tier held.
- Expiry of a verification document that is not renewed after notice.
- A confirmed finding under the Anti-Fraud Policy or the Acceptable Use Policy.
2.2.2 Effect of downgrade on Commission
- A downgrade raises the Commission rate applied to Orders accepted after the change takes effect, subject to the Rate Change Notice Period in clause 3.
- A downgrade does not restate the Locked Rate on an existing Order.
3. Rate changes and notice
3.1 The 14 day effectivity rule
3.1.1 When a new rate applies
- A change to a Seller Organization's Commission rate, whether from a Tier movement or from a platform-wide revision of this Schedule, takes effect 14 days after Gloseg records the change.
- Gloseg notifies the affected Organization through the Platform and by email to its registered administrators when the change is recorded, not when it takes effect, so the Organization has the full notice period to plan or to object.
3.1.2 Orders in flight
- An Order whose Quote was accepted before the effective date is billed at its Locked Rate for the whole of its life, including where payout happens after the new rate has taken effect.
- A Quote issued but not yet accepted at the effective date is repriced on acceptance at the rate then in force. A Seller who wants certainty should state a quote validity window shorter than the notice period.
3.2 Changes to this Schedule
3.2.1 Notice for operational changes
- A change to a rate, threshold or fee in this Schedule is published as a new version of this document with a change summary, and takes effect no earlier than 14 days after publication.
- A change that is purely editorial, such as a correction of a typographical error or the clarification of wording without altering a rate, threshold or obligation, takes effect on publication.
3.2.2 What this Schedule cannot do
- This Schedule cannot create a new category of obligation, waive a right stated in an agreement, or alter the governing law, dispute route or liability position set out in an agreement.
- If a future version of this Schedule appears to do any of those things, that part of it is without effect and the agreement continues to govern.
4. Gateway and settlement costs
4.1 Allocation
4.1.1 Who bears Gateway Cost
- Gateway Cost is disclosed at checkout or on the invoice and is borne as the Accepted Quote states: as an add-on to the Buyer, as a deduction from the Seller's payout, or split between them.
- Where the Accepted Quote is silent, Gateway Cost on the inbound payment is borne by the Buyer and Gateway Cost on the outbound payout is borne by the Seller.
4.1.2 Conversion spreads
- Where a payout currency differs from the Currency of Record, the conversion spread applied by the Gateway is a settlement cost borne by the Seller unless the Accepted Quote allocates it otherwise.
- Gloseg does not set, and does not earn, the Gateway conversion spread.
4.2 Failed and returned transactions
4.2.1 Return charges
- Where a payout is returned because the Seller's banking details are incorrect or its account cannot receive the funds, any bank charge for the failed transfer is deducted from the re-attempted payout.
- Gloseg re-attempts a returned payout once the Seller corrects its verified payout details. Repeated failures are handled as a verification matter, not as a fee matter.
4.2.2 Duplicate payments
- A duplicate inbound payment is identified on reconciliation and refunded to the source instrument. Commission is not charged on a refunded duplicate.
5. Payout timing
5.1 Standard timing
5.1.1 Timing by Tier
- The payout timings in clause 1.1.1 run from the moment escrowed funds are released under the Payments, Escrow & Payouts Terms, not from the date of the Order or the date of shipment.
- Payouts are operator-triggered. Timing is a target measured from release, and a payout may be held where a screening, sanctions or dispute condition applies under the Payments, Escrow & Payouts Terms or the Sanctions & Trade Compliance Policy.
5.1.2 Holds do not stop the clock permanently
- Where a hold is lifted, the payout timing for the Seller's Tier resumes from the date the hold is lifted. Gloseg records the reason for every hold on the Order.
6. Fees that Gloseg does not charge
6.1 Express position
6.1.1 No listing or subscription fee
- Gloseg charges no fee to create a Seller account, to publish a listing, to receive an RFQ, or to issue a Quote. Commission on a completed Order is the primary charge.
6.1.2 No chargeback fee
- Gloseg operates no chargeback subsystem, and therefore levies no chargeback administration fee. Buyer protection runs through escrow and the dispute process instead.
6.1.3 Introduction of a new fee
- Any new category of fee is introduced through the agreements, not through this Schedule alone, and where it binds a Seller or Buyer it is subject to the change and, where material, re-acceptance mechanics of the relevant agreement.
7. Taxes
7.1 Responsibility
7.1.1 Each party bears its own tax
- Commission is stated exclusive of any tax that Gloseg is required to charge on its own services. Where such a tax applies, it is added and shown separately.
- Each Organization is responsible for its own indirect tax, withholding tax and customs obligations arising from a transaction, and for issuing any tax document its jurisdiction requires.
7.1.2 Withholding
- Where a Buyer or a jurisdiction requires a withholding on a payment, the withheld amount does not reduce Commission, which remains calculated on the gross commissionable base.
8. Governing law and interpretation
8.1 Law and forum
8.1.1 Governing law
- This Schedule is governed by the laws of Ghana, and is read together with the governing law, jurisdiction and dispute resolution clauses of the agreement under which it is being applied. Those clauses, and not this Schedule, determine where a dispute is heard.
8.1.2 Language
- English is the governing language of this Schedule. A translation is provided for convenience only, and where a translation and the English text diverge, the English text prevails.
8.2 Interpretation
8.2.1 Precedence
- Where a rate, threshold or fee in this Schedule conflicts with an agreement, the agreement governs. Where it conflicts with a figure displayed in the Platform interface, this Schedule governs and Gloseg corrects the interface.
- A defined term used but not defined here has the meaning given to it in the Terms of Service.
8.2.2 Severability
- If a provision of this Schedule is unenforceable, the remainder continues in force.
